REPRESENTATIVE TRANSACTIONS

The following is a sample of transactions, which demonstrate Mr. Kaminski's ability to successfully manage diverse projects:

• Represented a client in the $25 milion sale of the ownership interests of a Minnesota limited liability company.
  
• Represented a client in the $16.3 million purchase of 75% of the partnership interests (both general and limited) of a limited partnership including the negotiation and review of a $20 million loan related to the purchase of the limited partnership interests.
  
• Represented a client in the $4.2 million purchase of a machine tooling business including the purchase of land and a building.
  
• Represented a client in the $4.4 million sale of substantially all of the assets of a distribution business.
  
• Represented a client that received a $4 million investment for a real estate project.  Negotiated and rafted the member control agreement which included a priority return, put option, call option and  mandatory buyout provisions as well as various voting, governance and management related provisions.
  
• Represented a client in the medical device industry in the $4 million sale o of all of its stock to another corporation including the negotiation and review of some seller financing by the principal shareholder of the client.
  
• Represented a publicly traded client in the $25 million purchase of all of the stock of another corporation including the use of a Rabbi Trust to fund bonus payments for employees.
